Who we are, and your agreement
Sonar is an iPhone app operated by Half Moon Labs LLC ("Sonar", "we", "us"). It connects to credit-card accounts you choose, works out when each card's statement closes, and projects the utilization that card is on course to report to the credit bureaus at that moment.
By creating an account or using Sonar, you agree to these Terms and to our Privacy Policy, which explains what we collect and why. If you do not agree, do not use Sonar.
Sonar is free today. If we ever charge for it, we will tell you the price before you buy anything, any purchase will be handled by Apple through the App Store rather than by us, and we will give you notice under Changes to these Terms first.
Who can use Sonar
You must be at least 18 years old and a resident of the United States. You must own, or be an authorized user of, every account you connect. Sonar is offered only in the United States and is not directed to people outside it.
What Sonar is not
Sonar is not a credit repair organization and does not repair, improve, or offer to improve your credit record, credit history, or credit rating.
Sonar is not a consumer reporting agency, does not furnish consumer reports, and does not pull your credit report or your credit score.
Sonar is not a lender, a bank, or a money transmitter, and does not move, hold, or transfer funds.
Sonar does not provide financial, legal, investment, or tax advice, and you should not treat it as a substitute for professional advice.
Projections are estimates
Sonar's projections are estimates computed from the information available to us at the moment we compute them. They are not guarantees. Specifically:
- account data from Plaid or from Apple Wallet can be delayed or out of date;
- issuers change statement closing dates without notice;
- charges that are pending when we calculate can post later, for a different amount, or not at all;
- credit limits change, and a limit you entered by hand may be stale;
- what an issuer actually reports to the bureaus, and when, is decided by the issuer, not by Sonar;
- the bureaus may receive, weight, or update that information differently than we project.
What your card actually reports, and any effect that has on any credit score, is outside Sonar's control. Decisions about your money are yours.
Notifications
Sonar's notifications are a convenience, not a payment reminder service. You, not Sonar, are responsible for paying your accounts on time and for keeping track of your own balances and statement dates.
Notifications may arrive late, may not arrive at all, or may carry figures that later turn out to be different — because of push delivery, your device's settings, network conditions, service interruptions, a change of time zone, or delays in the data we receive from your bank.
Disclaimer of warranties
Sonar is provided "as is" and "as available", without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the service will be uninterrupted, timely, secure, error-free, or that any projection will prove accurate.
Apple has no warranty obligation whatsoever with respect to Sonar, and is not responsible for any claims relating to it.
Some states do not allow the exclusion of certain implied warranties, so parts of this section may not apply to you.
Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any late fee, interest charge, over-limit fee, denied or reduced credit, or change in any credit score, arising out of or relating to your use of Sonar.
Our total liability for all claims relating to Sonar is limited to the greater of the amount you paid us in the twelve months before the claim arose, or one hundred United States dollars (US $100).
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, willful injury to the person or property of another, gross negligence, or any other liability that cannot be limited or excluded under applicable law.
Resolving disputes
Talk to us first
If you have a dispute with us, email [email protected] describing it. Neither of us may start an arbitration or a lawsuit until 60 days after that notice, so that we have a chance to sort it out. Sending the notice pauses any deadline that would otherwise run out during those 60 days.
Arbitration
If we cannot resolve it, you and we agree that any dispute relating to Sonar will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted by phone, by video, or on written submissions unless the arbitrator decides otherwise, and may take place in the county where you live. We will pay any arbitration fees above what you would have paid to file the same claim in court.
No class actions
You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding. If this paragraph is found unenforceable as to a particular claim, that claim — and only that claim — must proceed in court.
Small claims, and opting out
Either of us may bring an individual claim in small-claims court instead, if it qualifies.
You can opt out of arbitration and the class-action waiver entirely. Email [email protected] with the subject "Arbitration opt-out" within 30 days of first accepting these Terms, and include the email address on your account. Opting out costs you nothing and changes nothing else about your use of Sonar.
If 25 or more people bring similar claims represented by the same or coordinated counsel, we and the claimants agree the claims will be filed and resolved in batches of no more than 50, with a single arbitrator per batch, so the process stays workable for everyone.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act where it applies. Any claim not subject to arbitration must be brought in the state or federal courts located in Delaware, and we each consent to those courts.
None of this takes away the protections that the consumer laws of the state where you live give you and cannot be waived.
Changes to these Terms
We may update these Terms. If a change is material, we will tell you in the app before it takes effect, update the effective date and version at the top of this page, and ask you to accept the new version. For changes that are not material, continuing to use Sonar after the effective date means you accept them. If you do not accept a material change, you can stop using Sonar and delete your account.
Ending your account
You can stop using Sonar at any time, and you can delete your account from inside the app — Settings › Delete account. Deleting your account removes your data as described in the Privacy Policy.
We may suspend or end your access if you breach these Terms, if we reasonably suspect fraud or abuse, or if the law requires it. We may also discontinue Sonar, in which case we will give you reasonable notice so you can export or record anything you want to keep.
The sections on what Sonar is not, projections, notifications, warranties, liability, disputes, governing law, and ownership survive the end of your account.
Acceptable use and ownership
Do not scrape or bulk-download Sonar's data, reverse engineer the app, access it by automated means, probe or test its security, connect accounts you are not authorized to use, or resell the information it gives you.
Sonar's name, app, design and content belong to us. You get a personal, non-transferable, revocable licence to use the app on Apple devices you own or control, for your own use, subject to Apple's Licensed Application End User License Agreement.
Electronic communications
You agree to receive agreements, notices, disclosures and other communications from us electronically — in the app, by push notification, or by email to the address associated with your account — and you agree that electronic delivery satisfies any legal requirement that such communications be in writing. You may withdraw this consent by deleting your account. Please keep your contact details current, and keep a device able to receive these messages.
Apple
Apple is not a party to these Terms and is not responsible for Sonar. Apple has no obligation to provide maintenance or support for Sonar, and is not responsible for any claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
